DWF advises on management buy-out of CMS Window Systems
DWF has advised on the high profile management buyout (MBO) by Maven Capital Partners of Scottish business, CMS Window System (CMS), a manufacturer of premium windows and doors. This is the fourth investment made by Maven’s UK Regional Buyout Fund.
Established in 2006, CMS specialises in designing, manufacturing and installing energy-efficient and environmentally-friendly products.
DWF corporate partner Gary Macdonald advised the management team who were backed by Maven on the transaction, which includes the largest equity cheque ever written by the private equity managers.
Executive partner of DWF’s Glasgow office Paul Pignatelli led the team which advised CMS’s selling shareholders alongside corporate director Tom Maxwell and solicitor Eilidh Durkin.
Tax advice was provided by partner Caroline Colliston and solicitor Freya Gibb. Senior associate Vicki Thomas advised on pensions, associate Jennifer Wright on employment, associate Scott McGeachy on commercial matters, solicitor Mikela Rochford on banking and partner Paul Mason and associate Calum Raine on property matters.
